Job summary

Fortitude Mining, LLC is seeking a Senior Counsel, Governance & Securities (Director level) to lead public company readiness and capital markets initiatives. You will partner with the Chief Legal Officer, Board, and senior management to build SEC reporting and governance programs for a newly public company.

The role requires 7+ years of securities experience, including IPO/de-SPAC exposure, and hands-on drafting of SEC filings and governance policies.

Qualifications

• Juris Doctor from ABA-approved institution.
• Admission to at least one state bar, in good standing.
• 7+ years of securities, SEC reporting, and corporate governance experience, including 3+ years at a leading U.S. law firm.
• Experience with public company readiness work (IPO, de-SPAC, or business combinations).
• Strong written and oral communication skills.

Responsibilities

• Support SEC filings and related disclosure work (10-K, 10-Q, 8-K).
• Design and implement public company infrastructure, governance policies, and disclosure programs.
• Draft Board materials, charters, minutes, and governance documents.
• Coordinate with outside counsel and manage disclosure processes.
