Qualifications

• Juris Doctor from an ABA-approved institution.
• Admission to at least one state bar, in good standing.
• 7+ years advising on securities laws, SEC reporting and governance.
• Experience with public company readiness work (IPO/de-SPAC).
• Excellent written and verbal communication skills.
• Ability to manage in a fast-paced environment.
• Adaptable, proactive and able to build governance processes.

Responsibilities

• Support workstreams for business combination and transition to public company status.
• Design and implement public company infrastructure: SEC reporting & governance.
• Develop templates, checklists, and calendars for recurring disclosures.
• Prepare SEC filings (10-K, 10-Q, 8-K) and related materials.
• Coordinate with Board, Committees, and outside counsel.
• Lead cross-functional projects and manage outside counsel.
