Job summary

Kindle Energy LLC, a leading player in energy assets, seeks a Counsel Finance & M&A to support corporate finance, project finance, and mergers & acquisitions across its asset management and development platform.

You will collaborate with finance, development, asset management, EPCM, and leadership to structure transactions, conduct rigorous due diligence, and guide risk-aware deals from term sheet through closing.

Qualifications

• J.D. from an accredited U.S. law school and bar admission in at least one U.S. jurisdiction.
• 5+ years of relevant legal experience in M&A, project finance, and complex transactions.
• Prior experience in the energy industry, preferably power generation.

Responsibilities

• Lead or support legal aspects of mergers, acquisitions, divestitures, and strategic investments.
• Draft, review, and negotiate transaction documents (NDAs, LOIs, P&S, equity agreements, joint ventures).
• Manage due diligence processes, assess risks, and advise on structuring and mitigation strategies.
• Coordinate with internal stakeholders and external counsel to drive deals from term sheet to closing.
• Provide legal support for project finance transactions and portfolio optimization.
