Job summary

Cloud Capital, a global investment management firm, seeks a Senior Transactional Lawyer to provide high-quality legal support across complex transactions and corporate matters, including real estate, fund management, and financing of hyperscale data centers.

The role requires commercial judgment, autonomy in a fast-paced environment, and the ability to guide executives and external counsel through drafting, negotiation, and governance processes.

Qualifications

• Current member of the State Bar Association.
• Juris Doctor from an ABA accredited law school.
• Minimum six years of professional experience in a corporate team of a top-tier law firm or similar.
• Commercial experience and/or in-house experience preferred but not essential.

Responsibilities

• Lead legal support for concurrent transactions (real estate, M&A, joint ventures, debt financing) primarily in the United States.
• Oversee drafting, negotiation, and coordination of construction-related agreements, ensuring financing compliance.
• Negotiate and manage leases, SNDAs, and related tenant disputes.
• Provide strategic and pragmatic legal advice to executives and internal stakeholders.
• Coordinate with external counsel and manage advisers for cost-efficient, high-quality advice.
• Advise on federal and state regulatory matters, including CFIUS, and support governance standards.
