Cosm is scaling rapidly, seeking a lawyer trained in corporate or M&A at a major law firm to own internal corporate machinery. You will oversee governance, board support, entity structure, and high-stakes financings and transactions, aligning with enterprise risk and control objectives.

Based near Cosm’s Los Angeles office, you will advise executives directly, lead post-close integration, and help build AI-enabled governance infrastructure as core infrastructure rather than a pilot.

Summary

Cosm is scaling fast: new venues, new markets, new capital. This role owns the corporate machinery that makes that possible: governance and board support, global entity structure, financings and M&A, and the enterprise risk, audit, and control work that lets a company operate at institutional standard. We are looking for a lawyer trained in the corporate or M&A group of a major law firm who wants to help own this critical internal function.

Responsibilities

• Capital, Structure, and Transactions: lead equity and debt financings and M&A — term sheet through closing, integration, and post-closing obligations.
• Governance and the Board: board and committee support, the governance calendar, meeting materials, resolutions, consents, minutes, and a corporate record that holds up under diligence.
• Enterprise Risk, Audit, and Controls: support enterprise risk management with operationalizing processes, and partner with finance and external auditors on controls that withstand external scrutiny.
• Infrastructure and AI: Treat AI as core infrastructure rather than a pilot, and set the standards, guardrails, and quality bar for how Legal uses it.

Requirements

• Big law corporate and M&A training.
• Four to ten years of practice, with substantial time in the corporate, M&A, or capital markets group of a major law firm. This is the primary filter for the role.
• Real interest in risk and controls. Experience with enterprise risk, audit readiness, or internal controls, or a credible appetite to own it.
• AI-curious. Actual fluency with emerging tools, and the instinct to rebuild a process rather than staff it.
• High agency. Pragmatic judgment, the standing to advise executives directly, and comfort operating independently in a fast-paced, resource-lean environment.

Location and work arrangements

This position is based near Cosm’s Los Angeles area office. Cosm values in-person collaboration, and the role requires regular presence at the LA office. Occasional travel to other Cosm locations may be required.

Salary

The annualized base salary range for this position in California is $160,000 to 215,000. The base salary offered will factor in internal equity and may also vary depending on the candidate's geographic region, job-related knowledge, skills, and relevant experience, among other factors.
