Job summary

BrainWorks in Pittsburgh, PA seeks a Senior Legal Corporate Contracts/Regulatory/Compliance Counsel to provide broad legal guidance for a privately-held renewable energy asset management and development company. You will manage contract reviews, corporate governance, and policy programs while aligning legal risk with business objectives.

Qualifications

• Juris Doctorate degree from an accredited U.S. law school.
• 5+ years practicing attorney experience, preferably with some in-house exposure.
• Experience with contracts and commercial transactions is required; renewable energy industry experience is a plus.

Responsibilities

• Provide legal advice on a broad range of issues to enable business objectives while managing risk.
• Manage the legal contract review and approval process.
• Help manage corporate governance processes and comply with regulatory requirements.
• Draft, implement, and manage legal and compliance policies; train functions on legal issues.
• Advise on complex business transactions and oversee outside counsel as needed; draft, negotiate, and interpret various contracts (sales, supply, consulting, NDAs).

Senior Legal Corporate Contracts/Regulatory/Compliance Counsel

General Description and Duties:

• Provides legal advice and counseling on a broad range of legal issues that arise in privately-held renewable energy asset management and development company, with a goal of enabling the company’s objectives while managing legal and compliance risk.
• Manage the legal contract review and approval process.
• Helps manage corporate governance processes
• Drafts, implements, and manages legal and compliance policies.
• Trains and educates various functions on legal and compliance issues.
• From time to time, advises on potential complex business transactions, such as project acquisitions, overseeing outside counsel as necessary
• From time to time, drafts, negotiates, and interprets various types of commercial contracts, including sales agreements, supply agreements, consulting agreements, and non-disclosure agreements.
