Merck is seeking a Legal Counsel, Corporate Transactions to provide strategic counsel across mergers, acquisitions, divestitures, joint ventures and licensing deals. You will partner with business leaders through structuring, diligence, negotiation, and closing.

The role supports the transaction lifecycle, advising on risk, compliance, and strategy while managing outside counsel and coordinating across departments. Hybrid work in Rahway, NJ with travel as needed.

Formación

• At least four years of transactional legal experience.
• Licensed to practice law in at least one U.S. state.
• Experience drafting and negotiating sophisticated M&A and other agreements.
• Ability to manage multiple workstreams and deadlines.
• Strong business acumen and communication with leadership.

Responsabilidades

• Partner with BD and licensing colleagues on complex transactions across divisions.
• Provide strategic legal advice on structure, risk, and execution.
• Lead or support structuring, due diligence, negotiation and doc drafting.
• Identify and mitigate material legal and business risks.
• Coordinate with stakeholders and external advisers to drive execution.
• Advise on corporate, securities, antitrust laws.
• Manage outside counsel and monitor costs.
• Prepare executive communications on status and risks.
• Guide paralegals and junior staff.
• Ensure compliance with law and Company policy.
• Domestic and international travel may be required.
