Direct Counsel is seeking an experienced Business & Corporate Transactions Attorney with 8 years of experience to join a sophisticated transactional practice in San Francisco or Oakland, California. This senior role offers substantial autonomy and direct client responsibility, with a mainly remote arrangement for California-based attorneys.

The ideal candidate will handle business formations, corporate structuring, buy-sell agreements, entity conversions, and asset purchase transactions.

Qualifications

• 8 years of business and corporate transactional experience.
• Active California State Bar membership.
• Experience drafting and negotiating buy-sell agreements.
• Experience handling entity conversions.
• Strong drafting, negotiation, and organizational skills.
• Ability to independently manage complex transactions.

Responsibilities

• Advise clients on sophisticated business and corporate transactional matters.
• Structure and document business entities and ownership arrangements.
• Draft, review, and negotiate buy-sell agreements and related documents.
• Advise on entity conversions and restructurings.
• Draft and negotiate asset purchase agreements and related documents.
• Counsel clients throughout the lifecycle of business transactions.
• Independently manage sophisticated transactional matters with appropriate collaboration.
