BCG Attorney Search seeks an experienced Corporate and Securities Counsel to join its Boston office. The role focuses on complex securities, governance, capital markets, and regulatory matters for Nasdaq and NYSE-listed clients across various industries.

The attorney will benefit from a reduced billable-hour requirement and a focus on high-quality legal counsel and client service, with opportunities to advise senior management and boards.

Qualifications

• 8+ years of corporate and securities experience.
• Experience at a large regional or national law firm, in-house legal department, or SEC preferred.
• Substantial experience advising public companies on securities matters.
• Excellent academic credentials and strong analytical abilities.
• Outstanding written and oral communication skills.
• Licensed to practice law in the jurisdiction or eligible to become licensed.

Responsibilities

• Advise public companies on Securities Act of 1933 and Securities Exchange Act of 1934 matters.
• Handle securities offerings and capital markets transactions.
• Manage periodic reporting on Forms 10-K, 10-Q, and 8-K.
• Oversee proxy statements and annual shareholder meeting matters.
• Ensure compliance with Section 16 reporting and beneficial ownership.
• Provide corporate governance and board advisory services.
