BCG Attorney Search in Baltimore, MD seeks an experienced Corporate and Securities Counsel to represent Nasdaq and NYSE-listed public companies, handling complex securities, governance, capital markets, and regulatory matters.

This off-track position features a reduced billable-hour requirement and a client-service focus, offering high-quality legal counsel to major clients and an opportunity to concentrate on substantive work.

Qualifications

• 8+ years of corporate and securities experience.
• Experience at a large regional or national law firm, in-house legal department, or the SEC preferred.
• Substantial experience advising public companies on securities matters.
• Excellent academic credentials and strong analytical abilities.
• Outstanding written and oral communication skills.
• Licensed to practice law in the jurisdiction or eligible to become licensed.

Responsibilities

• Advise public companies on Securities Act of 1933 and Securities Exchange Act of 1934 matters.
• Handle securities offerings and capital markets transactions.
• Manage periodic reporting on Forms 10-K, 10-Q, and 8-K.
• Oversee proxy statements and annual shareholder meeting matters.
• Ensure compliance with Section 16 reporting and beneficial ownership.
• Provide corporate governance and board advisory services.
