Job summary

BCG Attorney Search seeks an experienced Corporate and Securities Counsel for its Washington, DC office. The attorney will represent Nasdaq/NYSE-listed clients in complex securities, corporate governance, and capital markets matters, with a reduced billable-hour commitment to emphasize high-quality counsel and client service.

Requirements include 8+ years in corporate/securities, strong advising experience with public companies, and JD with licensure or eligibility.

Qualifications

• 8+ years of corporate and securities experience.
• Experience at a large law firm, in-house legal department, or the SEC preferred.
• Substantial experience advising public companies.
• Excellent academic credentials and strong analytical abilities.
• Outstanding written and oral communication skills.
• Licensed to practice law in the relevant jurisdiction or eligible to become licensed.

Responsibilities

• Advise public companies on Securities Act of 1933 and Securities Exchange Act of 1934 matters.
• Handle securities offerings and capital markets transactions.
• Manage periodic reporting on Forms 10-K, 10-Q, and 8-K.
• Oversee proxy statements and annual shareholder meeting matters.
• Ensure compliance with Section 16 reporting and beneficial ownership.
• Provide corporate governance and board advisory services.
