Job summary

Figure Technology Solutions, Inc. is seeking a versatile corporate lawyer with a deep securities law background to join Figure's Legal team in San Francisco.

You will be equally comfortable running day-to-day corporate matters, leading M&A transactions, and advising at the frontier of securities law in a blockchain-enabled fintech environment. Reporting to the Chief Legal Officer, you will manage governance, securities filings, and strategic initiatives while coordinating with senior leadership

Qualifications

• 10+ years of experience at a top law firm and/or in-house at a public financial services or fintech company.
• Deep subject matter expertise in the Securities Act of 1933 and Securities Exchange Act of 1934, with working knowledge of the Investment Advisers Act of 1940 and Investment Company Act of 1940.
• Hands-on experience with broker-dealer regulation, including SEC and FINRA rules, registration, and compliance; SEC/FINRA experience a plus.
• Public company governance and reporting experience, including 10-K/10-Q/8-K, proxy statements, and Section 16 compliance.

Responsibilities

• Advise on general corporate matters including governance, subsidiary management, and commercial transactions.
• Lead capital markets transactions, including offerings, private placements, and equity plan matters.
• Oversee end-to-end M&A activity from structuring to post-closing integration.
• Support broker-dealer and marketplace regulatory matters with SEC/FINRA.
