Qualifications

• JD required from an accredited law school.
• Bar admission in Alabama (AL).
• Experience as a corporate attorney focusing on governance, entity formation, asset and stock sales, corporate transactions, and securities law.
• Strong analytical and problem-solving abilities with practical business-oriented advice.
• Exceptional negotiation and communication skills with client-facing experience.

Responsibilities

• Provide expert guidance on corporate governance issues and regulatory compliance.
• Assist in formation and structuring of corporate entities and jurisdiction selection.
• Draft and review asset and stock sale agreements; conduct due diligence and negotiate terms.
• Oversee corporate/entity transactions including mergers, acquisitions, and joint ventures; manage risks.
• Advise on securities law matters, including offerings and shareholder rights.
• Represent clients in shareholder disputes and litigation, including pleadings and discovery.
• Stay updated on changes in corporate and securities law and advise accordingly.
