Qualifications

• 4+ years of corporate & securities experience at a large regional or national law firm.
• JD degree required; bar admission anticipated.
• Excellent written and oral communication skills.
• Licensed to practice law in the jurisdiction or ability to become licensed promptly.

Responsibilities

• Advise on 1933 Act equity and debt securities offerings.
• Handle 1934 Act matters, including proxy statements and periodic reporting.
• Prepare and review Forms 8-K, 10-K, and 10-Q, and Section 16 reports.
