Confidential national law firm in Atlanta seeks a Corporate & Private Equity Partner with 8 to 15 years of sophisticated corporate and transactional experience, focused on M&A and private equity.

The partner will join an established Corporate and Private Equity team advising on middle-market transactions, typically involving enterprise values between $20 million and $250 million, with clients across sponsors, portfolio companies and strategic buyers.

Qualifications

• 8 to 15 years of corporate and transactional experience.
• Significant M&A and private equity experience.
• Representing private equity sponsors and portfolio companies.
• Advising strategic buyers, founders, and management teams.
• Drafting and negotiating purchase agreements, LLC agreements and related transaction documents.
• Managing due diligence and transaction closings.
• Advising on corporate governance and ownership structures.
• Working directly with investment professionals, lenders, accountants and opposing counsel.

Responsibilities

• Advise clients on middle-market transactions, including acquisitions, divestitures, investments and exit transactions.
• Counsel on structuring, negotiation and closing of transactions.
• Collaborate with PE sponsors, portfolio companies and strategic buyers to align deal terms.
• Ensure regulatory and governance considerations are integrated into transactions.
