Job summary

Ashurst Perkins Coie US LLP in Seattle seeks a Senior Corporate Paralegal to support its Corporate and Securities practice. Under minimal supervision, you will assist lawyers and clients with high-level corporate and transactional duties and maintain confidential client records.

This role emphasizes governance documents, UCC filings, diligence, closings for financings, mergers, and client service across industries; requires 7–10 years experience, a four-year degree, and advanced MS Office skills.

Qualifications

• 7–10 years of corporate paralegal experience.
• Bachelor's degree or equivalent.
• Proficiency with EDGAR, hCue, Shareworks; strong capitalization-management familiarity.
• Strong organizational, analytical, and communication skills.
• Knowledge of California and Delaware corporate law and securities rules.
• Advanced MS Office skills including Excel, Acrobat, redlining.

Responsibilities

• Support public and private company securities compliance matters, including beneficial ownership tables, EDGAR Next management for individual filers, Section 16 and Schedule 13 reporting, and Rule 13H filings.
• Prepare, file, and maintain corporate governance and entity-formation documents for corporations, LLCs, LPs, and LLPs, including ownership records, state and federal filings, amendments, dissolutions, and withdrawals.
• Conduct UCC, corporate, and statutory diligence; prepare UCC financing statements, corporate certifications, and closing documents; and manage closings for financings, mergers, and acquisitions.
• Maintain confidential client records and electronic data sites; coordinate with lawyers, clients, vendors, and paralegal teams to manage requests, workloads, regulatory filings, and high-quality client service.
