Confidential Law Firm in Los Angeles seeks a Senior Corporate Paralegal to support sophisticated corporate transactions and governance matters. The role is hybrid, with up to 3 days remote work.

The position requires 7+ years in corporate paralegal work, a BA and ABA-approved paralegal certificate, and strong knowledge of California entities. Salary ranges from $120,000 to $150,000 per year with standard benefits.

Qualifications

• 7+ years of corporate paralegal experience, preferably in a boutique or mid-sized law firm.
• Experience with M&A, private equity, venture capital, and financing transactions.
• Strong knowledge of corporate governance and California business entities.
• Proficiency with Microsoft Office, Adobe Acrobat, DocuSign, and virtual data rooms.
• Excellent organizational, communication, and project management skills.

Responsibilities

• Support M&A, financing, reorganizations, and other corporate transactions from due diligence through closing.
• Prepare and coordinate transaction documents, closing checklists, execution packets, and post-closing deliverables.
• Manage corporate governance records, entity formations, compliance filings, and organizational documents.
• Maintain capitalization tables, stock ledgers, entity databases, and corporate records.
• Coordinate with clients, outside counsel, government agencies, and registered agents.
