Job summary

Naviga seeks a senior corporate paralegal to operate at associate-level rigor, handling cap tables, filings, and corporate governance with minimal supervision.

You will use tools like Carta, Pulley, HighQ, Box, DocuSign, and SimplyAgree, supporting attorneys across complex transactions and regulatory work.

Ideal candidates have heavy corporate law experience, strong communication, and the ability to mentor junior staff in a premier firm setting.

Qualifications

• 10+ years of paralegal experience in corporate law.
• Proven ability to manage large data volumes and functions independently.
• Experience with equity management and regulatory filings.

Responsibilities

• Cap table management and capitalization modular maintenance.
• Organize and file Articles of Incorporation, amendments, consents, and closing books.
• Prepare Section 16 filings and SEC EDGAR Next submissions.
• Assist with formation and maintenance of corporations, LLCs, and 501(c)(3) entities.
• Manage data rooms (HighQ/Box) and signature packets (DocuSign/SimplyAgree).
• Draft UCC searches and filings with state authorities.
