Job summary

Haley Stuart Group is seeking a Corporate Paralegal for a hybrid role in Northern New Jersey, part of the New York metropolitan area. You will work alongside sophisticated corporate attorneys supporting complex transactions, governance matters, entity management, and related business matters.

The ideal candidate has 5+ years of corporate paralegal experience, experience at a large law firm, and strong organizational skills. A Bachelor's degree and/or Paralegal Certificate are preferred.

Qualifications

• 5+ years of Corporate Paralegal experience.
• Experience at a large law firm (150+ attorneys) is required.
• Experience with corporate governance and entity management.
• Experience supporting mergers, acquisitions, financings, and other transactional matters.
• Strong organizational and project management skills.
• Excellent written and verbal communication skills.
• Proficiency with Microsoft Word and Excel.
• Bachelor's degree and/or Paralegal Certificate preferred.

Responsibilities

• Assist attorneys with corporate transactions and business matters.
• Prepare and maintain corporate records, resolutions, minute books, and governance documentation.
• Manage entity formations, qualifications, dissolutions, and ongoing maintenance.
• Support due diligence efforts for mergers, acquisitions, financings, and other transactions.
• Prepare closing documents and closing binders.
• Coordinate UCC filings and other corporate filings.
• Maintain corporate databases and records.
• Communicate with clients, registered agents, and government agencies.
