Job summary

Naviga Recruiting & Executive Search partners with a premier global law firm to recruit a Senior Corporate Paralegal who will manage equity capitalization, formation documents, and closing mechanics for venture financings and M&A, with minimal supervision.

Support across multiple offices with hybrid in-office/remote work; you will mentor junior staff and handle regulatory filings. Strong Carta proficiency and knowledge of relevant securities laws are required.

Qualifications

• Substantive, senior-level corporate paralegal experience in a law firm, financial services equity administration team, or corporate legal department.
• Direct, recent mastery of Carta is required, with the ability to manage complex capitalization tables independently from day one.
• Hands-on experience with equity platforms like Pulley and familiarity with transaction/legal tech tools (SimplyAgree, DocuSign, SEC EDGAR Next, Relativity, LexisNexis, Westlaw).
• Working knowledge of the California Corporations Code, Delaware General Corporation Law, and securities laws.
• Collaborative, solutions-oriented, able to work extended hours (8–10+ hours, occasional weekends) during critical closings.
• Demonstrated career stability with steady tenures.

Responsibilities

• Prepare, audit, and maintain capitalization tables, stock ledgers, and equity option records using specialized equity management platforms.
• Perform private company transfer agent functions, including issuing stock certificates, processing secondary equity transfers, managing option grants, and maintaining stock plan records.
• Draft and file entity formation and governance documents, including Articles of Incorporation/Organization, foreign qualifications, bylaws, resolutions, and state annual reports.
• Draft transaction documents, closing checklists, short-form deliverables, UCC filings, and searches.
• Lead the organization, assembly, and binding of closing books and final closing volumes for complex transactions.
• Prepare regulatory filings with state and federal agencies (Section 16 reports, Form S-8, Secretary of State submissions) and conduct Blue Sky research.
• Manage virtual data rooms, corporate matter files, and minute books.
• Mentor junior paralegals and legal assistants on workflows and governance best practices.
