Job summary

Considine Search is seeking a Senior Corporate Paralegal to provide sophisticated support for general corporate maintenance and complex transactions for private and public company clients.

The role requires independent work with minimal attorney guidance, handling substantive responsibilities within the firm's corporate practice. Compensation reflects experience and location, with overtime and bonus potential.

Qualifications

• 5+ years of transactional paralegal experience.
• Experience in Private Equity, Capital Markets, and M&A preferred.
• Ability to work independently with limited supervision.
• Overtime availability as required.
• Excellent written and verbal communication skills.
• Strong attention to detail and ability to multitask.
• Ability to establish effective working relationships with attorneys and staff.
• Discretion handling confidential information.
• Proficiency with Microsoft Office; advanced Excel preferred.
• Familiarity with Carta/Shareworks or similar systems.

Responsibilities

• Assist formation, maintenance, and dissolution of corporate entities and prepare related documents.
• Coordinate transactional closings and prepare related documentation.
• Assist with legal opinions and assemble supporting documentation.
• Draft and file corporate and securities filings.
• Organize corporate records and conduct due diligence reviews.
• Prepare stock certificates and maintain capitalization tables and option records.
• Research Blue Sky requirements and prepare applicable filings.
• Train and provide guidance to paralegals and staff.
• Handle additional corporate and transactional matters as needed.
