Job summary

Considine Search is seeking a corporate paralegal to support private equity, capital markets, and M&A transactions for both private and public company clients. You will assist in formation, maintenance, and dissolution of entities, prepare filings, and organize corporate records.

We value 3+ years of transactional experience, proficiency with Microsoft Office and strong Excel skills, and the ability to manage multiple priorities with discretion.

Qualifications

• 3+ years of transactional experience in Private Equity, Capital Markets, and M&A matters
• Available to work overtime, as required
• Proficiency in the Microsoft Office suite, advanced knowledge of Excel preferred

Responsibilities

• Assist in the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents
• Coordinate closings and prepare related documents
• Prepare legal opinions and assemble opinion back-up
• Draft and file corporate and securities filings
• Organize corporate records and conduct due diligence reviews
• Prepare stock certificates and maintain capitalization tables and option records
• Research Blue Sky issues and prepare required filings
• Provide training to case assistants and junior paralegals
• Other tasks as assigned or required
