Senior Corporate Paralegal

Locations: Hybrid

Compensation: $120,000 – $180,000 + Bonus Eligible

Must-Haves:

• ABA-approved paralegal certificate and/or bachelor’s degree
• 5+ years of corporate and transactional legal experience
• Solid background in startup law, with exposure to M&A and capital markets

Strongly Preferred:

• Experience in a large law firm or corporate legal department

A top-tier law firm is seeking a Senior Corporate Paralegal with a strong background in startup law, and experience in mergers & acquisitions and capital markets considered a plus. This role is hybrid, requiring three in-office days per week, with flexibility based on business and client needs. Standard hours are Monday–Friday, 9:00 am to 5:30 pm (37.5 hours/week, non-exempt).

Key Responsibilities:

Startups (Required):

• Incorporate technology and life sciences companies
• Manage corporate records and implement stock option plans
• Administer venture capital financings and perform blue sky research
• Manage equity platforms such as Carta and Shareworks

Mergers & Acquisitions (Preferred):

• Collect and organize due diligence materials and data rooms
• Conduct diligence and capitalization research
• Coordinate regulatory filings and shareholder communications
• Draft and manage signing/closing documents and prepare closing volumes

Capital Markets & Public Companies (Preferred):

• Support IPOs and public company filings, including backup spreadsheets and ownership tables
• Prepare SEC filings (’34 Act, Section 16), Rule 144 letters, and stock exchange applications
• Assist with transfer agent onboarding, FINRA filings, and closing documentation

Desired Skills & Qualifications:

• Proficiency with Carta, Shareworks, and Excel
• Excellent communication, organizational, and multitasking skills
• Experience in a large law firm or corporate legal environment preferred
• ABA-approved paralegal certificate and/or four-year degree
• Minimum of 5 years’ corporate and transactional legal experience
