Qualifications

• 7–10 years of experience in corporate and commercial transactions.
• Significant M&A experience with sophisticated corporate matters.
• Ability to independently manage complex transactions and lead deal teams.
• Strong drafting, negotiation, analytical, and problem-solving skills.
• Experience advising sophisticated clients through due diligence to closing.
• Excellent written and verbal communication skills.
• Admission to practice in CA, FL, OK, AR, or NY in good standing.

Responsibilities

• Lead and manage complex mergers and acquisitions and corporate matters.
• Draft, review, and negotiate transaction documents and contracts.
• Advise on corporate governance and regulatory compliance.
• Counsel closely held businesses on structure and governance.
• Advise on data privacy, security, and regulatory issues in transactions.
• Manage due diligence processes and coordinate closings.
• Communicate with clients, opposing counsel, and deal professionals.
• Provide practical, strategic legal advice aligned with business objectives.
• Manage multiple matters and deadlines effectively.
• Collaborate with firm attorneys across departments.
