Job summary

Kelleher + Holland, LLC is seeking an accomplished Corporate Attorney to lead complex M&A and transactional work from our North Barrington office. You will manage matters from structuring through closing, including formation, governance, and succession for closely held businesses.

The ideal candidate has 10+ years of corporate/transactional experience, Illinois license, and the flexibility to apply estate planning in intersecting client needs.

Qualifications

• Illinois license to practice law is required.
• 10+ years of corporate/transactional experience is preferred (minimum 7–10 years considered).
• Estate planning experience a plus but not required.
• CPA, CFP, or AEP designation is a plus.

Responsibilities

• Structure, negotiate, and close mergers, acquisitions, and other business transactions.
• Draft and review purchase agreements, operating agreements, and related corporate documents.
• Advise closely held businesses on entity formation, governance, and succession.
• Conduct due diligence and manage transaction timelines.
• Counsel clients on general corporate matters as trusted outside counsel.
