Job summary

GitLab is seeking a Lead Legal Counsel, Corporate, to own securities, public company reporting, and governance work within the LACA team. This senior role involves quarterly reporting, proxy statements, equity plans, and supporting M&A and strategic initiatives across a globally distributed company.

The ideal candidate has 6+ years of relevant US-listed company experience, a JD, and US bar admission, with strong cross-functional collaboration skills and a track record of scalable legal processes.

Qualifications

• 6+ years of demonstrated relevant legal experience advising US-listed public companies on securities law, governance, and reporting.
• JD degree and active US state bar admission.
• Ability to manage complex legal matters and cross-functional projects.
• Strong written and verbal communication for non-lawyers and senior leaders.

Responsibilities

• Own securities and public company reporting matters with internal stakeholders and external auditors.
• Advise on corporate governance including board processes and equity plan matters.
• Provide guidance on entity matters across jurisdictions and wind-downs.
• Support M&A and strategic transactions through diligence and closings.
• Manage outside counsel across jurisdictions and coordinate advice.
• Identify risks and present options to senior stakeholders.
