NextDecade is seeking a Corporate Counsel to advise on public company governance, securities law, and capital markets transactions. You will collaborate with Finance, Accounting, Investor Relations and HR to support strategic initiatives and regulatory compliance.

The role requires a JD with active U.S. licensure and 5+ years in a similar setting, with strong communication and PM skills to manage multiple high‑stake matters in a fast-paced environment.

Qualifikationen

• JD degree and active license to practice law in the U.S.
• 5+ years of legal experience at a law firm or in-house advising public companies
• Experience advising on securities law and SEC reporting and compliance
• Experience with capital markets and corporate finance; demonstrated PM skills

Aufgaben

• Support governance and securities compliance, incl. SEC filings (10-K, 10-Q, 8-K)
• Assist with preparation of board and committee materials
• Prepare and advise on Section 16 filings and disclosures
• Support finance and capital markets transactions, debt financings, facilities, derivatives
• Provide legal support to Investor Relations and review stockholder materials
• Develop corporate policies and programs for a public company
• Advise on compliance with laws, regulations and company policies
• Manage and coordinate outside counsel as needed
