Job summary

IES Holdings, Inc. is seeking a senior legal leader to run the legal function, with the title of Deputy General Counsel or General Counsel depending on experience. The role carries full operational leadership of the department, working closely with the CAO to set strategy and scale the function.

Based at the Houston headquarters, this in-person role oversees SEC reporting, corporate governance, M&A, and compliance programs, and offers a clear transition path to GC for the right candidate.

Qualifications

• J.D. from an accredited law school and active Texas bar membership.
• 10–15 years of legal experience, including time as in-house counsel at a public company.
• Hands-on SEC reporting experience.
• Proven track record leading an effective legal team in a fast-paced, operations-focused environment.
• Commercial, practical, and solution-oriented approach balancing risk with business objectives.

Responsibilities

• Lead the legal department consisting of three attorneys and three paralegals at the holding company level and coordinate with divisional teams.
• Own SEC reporting calendar, filings, proxy, 16 reporting, Reg FD, and disclosure controls; draft executive compensation disclosures with the CAO.
• Drive M&A diligence, structuring, and integration with the CAO; develop scalable contract templates and playbooks.
• Develop and mature the corporate compliance program, including code of conduct, whistleblower procedures, and training.
• Oversee data privacy and cybersecurity initiatives in collaboration with IT leadership.
• Provide strategic direction for litigation and manage outside counsel; present to board and committees as needed.
• Path to General Counsel: phased responsibilities with potential transition to GC for senior candidates.
