Job summary

The Armor Group seeks a Corporate Counsel to provide strategic legal leadership and risk management for the company, including negotiations, contracts, and M&A activity.

In a 1099 contract position based in Mason, OH, you will oversee litigation, outside counsel, corporate records, and regulatory compliance while partnering with executives to minimize risk and protect company interests.

Qualifications

• 5–10 years of experience in a legal leadership role.
• Strong Employment Law experience.
• Contracts experience in Sales, Real Estate, IP, and related areas.
• M&A experience with distressed assets and bankruptcy knowledge a plus.
• Bankruptcy experience including 363 sales and lien/title searches.
• Hands-on, proactive, and capable of building processes in a legal department.
• Strong interpersonal and leadership skills with cross-functional collaboration.
• Corporate and real estate experience.
• Excellent research and data gathering skills.
• Self-starter with a proactive mindset.

Responsibilities

• Manage the legal aspects of acquisition opportunities, including risk assessment and due diligence.
• Develop creative solutions for distressed asset acquisitions.
• Draft and review contracts for employees, customers, vendors, and acquisition candidates; including NDA and purchase agreements.
• Develop processes, policies, and procedures to minimize risk across product liability, environment, HR, and regulatory areas.
• Draft legal documents and maintain filing systems; coordinate with outside counsel as needed.
• Represent the company in settlements, litigation, and debt collection matters.
• Filing lawsuits and managing litigation to minimize costs where appropriate.
• Create and maintain corporate minutes and governance records.
• Advise management on legal strategy and regulatory compliance across divisions.
• Coordinate shareholder and estate planning activities and align with executive management.
