Job summary

Cars Commerce seeks a Senior Corporate Counsel to provide hands-on legal counsel across the enterprise, shaping strategy, contracts, and compliance for the US and Canada markets.

You will negotiate commercial and employment agreements, review policies, support mergers and acquisitions, and collaborate with senior leaders to mitigate risk in a fast-paced e-commerce and automotive environment.

Qualifications

• Active, good standing license with at least one U.S. state bar.
• General corporate experience at a law firm or in-house legal department performing similar duties.
• Experience reviewing and negotiating complex commercial and employment contracts.
• Knowledge of U.S. and Canadian employment, consumer protection, data privacy, and federal and state civil procedure laws.
• Litigation experience or litigation management.
• Excellent strategic and analytical skills, strong communication and presentation skills, and the ability to work well independently and on a team.

Responsibilities

• Provide general legal counsel and advice to non-attorney stakeholders concisely and precisely.
• Advise on compliance, consumer protection, cybersecurity, data privacy, and employment laws in the U.S. and Canada.
• Negotiate, review, and draft employment and commercial contracts (subscription, SaaS, NDAs, leases, advertising).
• Review corporate policies to ensure regulatory compliance.
• Perform ad hoc legal research for new business initiatives.
• Minimize risk by reviewing advertising materials for consumer protection compliance.
• Monitor licensing, software agreements, and trademark usage.
• Provide strategic analysis on new business matters and litigation matters.
• Manage litigation with outside counsel and support due diligence in M&A and governance.
• Uphold Cars.com integrity and goodwill.
