Join Aleron, a global workforce and business solutions company, in Buffalo, NY, as Corporate Counsel. You’ll shape deals, review and edit MSAs, SOWs, NDAs, POs, and order forms, and coordinate with internal teams and vendors.

The role reports to the General Counsel and offers mentorship across functions within a hybrid work setting. The ideal candidate will bring a law degree, NY Bar admission or equivalent, and a strong track record in contract negotiation, risk assessment, and regulatory

Qualifications

• Law degree from an accredited law school.
• Admitted to the Bar in New York or another state.
• Experience reviewing, drafting, and editing agreements, with deep expertise in the Track Changes function (redlines).
• Comfortable exercising independent legal judgment and managing a broad, varied caseload with limited legal-department support.
• Nuanced understanding of key legal concepts relevant to Aleron operations, including indemnification, limitation of liability, wage and hour, independent contractor and co-employment risk, IP, confidentiality, and insurance structures.
• Highly organized, self-motivated, capable of meeting deadlines with excellent communication skills.

Responsibilities

• Coordinate the review, negotiation, and execution of all Aleron customer agreements.
• Provide initial review and analysis of all Aleron vendor agreements.
• Review and action direction from internal stakeholders into agreement amendments and modifications.
• Provide detailed review, analysis, and recommendations on RFPs, contracts, and leases to ensure accuracy, legality, and responsiveness to requirements.
• Negotiate legal and contractual issues with suppliers, vendors, and customers to resolve disputes.
• Use legal training to clarify and negotiate contractual requirements and act as liaison to facilitate contract execution.
• Manage claims, litigation, and settlement matters through to resolution, including oversight of outside counsel.
• Evaluate delinquent accounts and direct collections and demand-letter strategy.
• Manage Aleron's trademark portfolio, including USPTO filings, prosecution, and renewals.
• Review and advise on regulatory and workforce compliance matters, including worker classification and immigration/work-authorization requirements.
• Negotiate data privacy and information-security terms in agreements, including DPA, breach-notification obligations.
• Support immigration matters, including work-authorization questions with outside counsel.
• Create and maintain contract templates, playbooks, and processes to speed up turnaround.
• Provide ongoing guidance to sales, recruiting, and operations on contract terms and risk allocation.
