Job summary

Fenwick & West is seeking a mid-senior corporate associate with 4–6 years of experience advising public companies or investment banks within our Capital Markets and Public Companies group. The role supports transactions including IPOs, SPACs, direct listings and follow-ons, with a preference for tech or life sciences clients.

Bar eligibility in the relevant state is required. The position requires strong academic credentials and excellent oral, written, and interpersonal skills to advise issuers

Qualifications

• Experience advising public companies on SEC compliance, disclosure, governance and exchange matters.
• Represent issuers or investment banks in capital market transactions (IPOs, SPACs, direct listings, follow-ons).
• Preference for technology and/or life sciences sector experience.

Responsibilities

• Advise public companies and investment banks on regulatory and governance issues.
• Lead or assist in capital market transactions including IPOs, SPACs, DLOs and follow-ons.
• Collaborate with firm offices nationwide to serve clients effectively.
