The successful candidate will partner with public and private companies, private equity sponsors, investors, and entrepreneurs, overseeing deal execution from structuring through closing and contributing to strategic business objectives.

Qualifikationen

• Strong drafting and negotiation skills.
• Ability to manage multiple sophisticated matters with attention to detail.
• Excellent communication, writing, and client relationship management.

Aufgaben

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from letter of intent through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful transaction outcomes.
• Collaborate with attorneys across tax, finance, employment, intellectual property, and regulatory practices.
• Build and maintain strong client relationships while delivering practical legal guidance.
