Qualifications

• JD class of 2020–2023
• 3–6+ years of corporate transactional experience
• Experience at a large or nationally recognized law firm
• Primary/lead attorney on M&A or growth equity transactions
• Admitted to NY Bar or eligible to waive into NY

Responsibilities

• Represent venture-backed and emerging growth companies, investors, and VC funds in sophisticated corporate transactions
• Lead and execute M&A transactions (acquisitions, dispositions, and related matters)
• Advise on late-stage and growth equity financings, secondary transactions, and liquidity events
• Serve as primary attorney on transactions, managing matters from due diligence through closing
• Draft and negotiate purchase agreements, financing documents, and related schedules
• Collaborate with CEOs, boards, general partners, and other senior client contacts
• Manage multiple complex transactions while coordinating across the firm
