Job summary

Circular Action Alliance is seeking a Legal Counsel to lead commercial contracting, drafting, negotiation, and lifecycle management for our EPR programs and vendor agreements. This role reports to the General Counsel and collaborates across leadership to drive risk‑aware, business‑friendly contracting practices.

The attorney will manage a high-volume contract process, develop templates, and implement CLM improvements while ensuring regulatory compliance and governance.

Qualifications

• J.D. from an accredited U.S. law school and active bar in good standing.
• 5+ years drafting and negotiating commercial contracts.
• Experience with CLM systems, preferably Ironclad.
• Excellent drafting, writing, and analytical skills.

Responsibilities

• Support and scale a high-volume contracting environment with efficiency.
• Lead end-to-end contract lifecycle: intake, drafting, negotiation, execution, amendment, termination.
• Develop and improve contract templates, fallback positions, and playbooks.
• Identify and mitigate key commercial risks and lead risk allocation negotiations.
• Oversee CLM system implementation, workflows, metadata, and reporting.
• Report on contract metrics and advise business teams on strategy.
