Job summary

Paxos is seeking a Senior Commercial Counsel to partner with business teams, close deals efficiently, and protect Paxos' interests. You will translate legal considerations into actionable recommendations, create scalable templates, and drive process improvements to scale the business.

You will also manage in-house commercial, corporate, and other legal matters, including drafting terms and negotiating banking and financing documents, with flexibility to grow into new areas as the company expands.

Qualifications

• 6-10 years of commercial legal experience in technology transactions, SaaS, corporate law, mergers & acquisitions, funds, and/or finance.
• Experience leading complex commercial negotiations from term sheet through final execution.
• Commercial mindset with ability to weigh legal risk against business objectives.
• Experience working cross-functionally on multiple projects under tight deadlines.
• Desire to work in a fast-paced, dynamic environment with ambiguity.
• Excellent written and verbal communication and negotiation skills.
• Efficient and judicious use of AI tools to improve speed and quality.

Responsibilities

• Provide expert legal advice on deal structure, risk allocation, approval paths, and practical options.
• Draft, negotiate, and close complex commercial, SaaS, technology, vendor, licensing, data, and strategic-partnership agreements.
• Keep cross-functional stakeholders aligned on priorities, decisions, tradeoffs, and next steps.
• Build and improve scalable contract processes, clause libraries, playbooks, and self-service resources.
• Spot patterns across matters, identify root causes, and design sustainable solutions.
• Use AI and other technology thoughtfully for legal review, drafting, research, and workflow management.
• Contribute across broader in-house matters as business needs evolve.
