Overview
  • The Capital Markets practice has a market-leading global presence, covering a full spectrum of securities products including debt and equity capital markets, high yield, structured finance, derivatives, securitization, and corporate trust, and advises leading global investment banks, NYSE, NASDAQ, and FTSE-listed corporates, sovereigns, and funds.
  • The New York Capital Markets practice is growing, having added two partners in the past year.
  • The role involves advising public and private companies, underwriters, investors, and financial institutions on a broad range of sophisticated domestic and cross-border equity and debt capital markets transactions, including IPOs, registered follow-on and secondary offerings, SPAC IPOs, de-SPAC transactions, direct listings, private placements, PIPEs, and ATM programs.
  • Key responsibilities include drafting, reviewing, and negotiating transaction documentation such as registration statements, prospectuses, underwriting agreements, securities purchase agreements, and offering memoranda.
  • The position requires supporting public company clients with ongoing SEC reporting and disclosure matters, including periodic reports, current reports, proxy materials, and SEC comment responses, and familiarity with these requirements.
  • Associates take ownership of key transaction aspects, manage drafting processes, and coordinate execution; they also work on capital markets‑adjacent M&A and strategic transactions, including tender and exchange offers, acquisitions, divestitures, business combinations, joint ventures, and strategic collaborations, often collaborating with other practices.
  • The role involves contributing to the firm’s thought leadership through client alerts and SEC proposal comment letters, and developing a strong understanding of both the legal and commercial aspects of transactions.
