Job summary

Sul Lee Law Firm, PLLC is seeking a senior Business Transaction Attorney (Remote) to join a growing practice focused on corporate, IP, and transactional work. The role offers remote work with quarterly in-person Dallas meetings and leadership exposure with firm leadership.

The ideal candidate has 5+ years in corporate transactions, a JD, and the ability to mentor junior attorneys in a fast-paced, enterprise-oriented environment.

Qualifications

• Juris Doctor (JD) and bar admission in at least one U.S. state.
• Texas licensure preferred but not required.
• Minimum of 5+ years in corporate and business transactions.
• Proven ability to close complex commercial and real estate deals.
• Strong business acumen and client-alignment.
• Experience mentoring junior attorneys and supervising staff.

Responsibilities

• Lead and manage corporate transactions and M&A, including small mergers and acquisitions, partnerships, structuring, and JVs.
• Draft, review, and negotiate franchise disclosures and agreements.
• Draft, review, and negotiate real estate transaction documents and related agreements.
• Draft, review, and negotiate a wide range of commercial agreements (vendor contracts, NDAs, operating agreements, purchase agreements).
• Provide strategic governance, risk management, and growth planning advice.
• Oversee due diligence and coordinate closings with stakeholders.
• Advise clients on real estate, commercial leases, and business operations.
• Mentor junior attorneys and support firm strategic initiatives.
