Job summary

Caldwell is seeking a Senior Associate in its Corporate Practice Group in Boston. You will play a key role advising clients through the full M&A lifecycle, with emphasis on strategic acquisitions, divestitures, and exit transactions. You will work directly with founders, boards, private equity sponsors, and public companies.

The role requires J.D. from an ABA-accredited law school, Massachusetts admission or eligible, and 4+ years of corporate transactional experience at a comparable firm.

Qualifications

• Admitted to practice in Massachusetts or eligible for prompt admission.
• 4+ years of corporate transactional experience, with buy-side and sell-side focus.

Responsibilities

• Lead and support buy-side and sell-side M&A transactions, including stock and asset purchases, mergers, carve-outs, and exits.
• Negotiate and draft primary and ancillary transaction documents: LOIs, purchase agreements, disclosure schedules, merger agreements, closing deliverables.
• Advise on transaction structure, deal risk allocation, and execution strategy across acquisitions and sales.
• Manage due diligence for buyers and sellers, including issue spotting, risk assessment, and remediation strategies.
• Support venture capital and growth-stage transactions linked to acquisitions or exit planning.
• Counsel on post-closing integration, divestiture matters, and ongoing corporate governance.
• Collaborate with internal teams and external advisors to drive on-time closings and stay current on U.S. and international law.
