Qualifications

• J.D. from an accredited law school and active Florida Bar admission (or ability to waive in).
• Extensive securities and capital markets experience (8+ years).
• Portable book of business strongly preferred.
• Deep knowledge of federal securities laws and SEC regulations.
• Strong drafting, negotiation, and analytical skills.
• Entrepreneurial mindset with a collaborative approach.

Responsibilities

• Structure and lead public and private securities offerings, including equity and debt transactions.
• Advise clients on SEC reporting and compliance, including Exchange Act filings and disclosure requirements.
• Counsel clients on corporate governance, SEC regulations, and securities law compliance.
• Represent issuers, investors, and financial institutions in capital markets transactions.
• Provide strategic guidance on mergers, acquisitions, and other corporate transactions with securities implications.
• Drive business development initiatives and maintain strong client relationships.
• Mentor and supervise associates and contribute to the growth of the corporate and securities practice.
