LeoForce in Florida is seeking a Senior Securities Attorney to structure and lead complex securities offerings for issuers, investors, and financial institutions. The role emphasizes governance, regulatory compliance, and strategic advisory across capital markets, mergers, and corporate transactions.

The ideal candidate has a JD, Florida Bar status, and at least 8 years of securities experience, with a portable book of business preferred.

Qualifications

• Requires JD from an accredited law school and Florida Bar admission.
• Extensive experience in securities and capital markets law (8+ years).
• Strong drafting, negotiation, and analytical skills.

Responsibilities

• Structure and lead public and private securities offerings, including equity and debt transactions.
• Advise clients on SEC reporting and compliance, including Exchange Act filings and disclosure requirements.
• Counsel clients on corporate governance, SEC regulations, and securities law compliance.
• Represent issuers, investors, and financial institutions in capital markets transactions.
• Provide strategic guidance on mergers, acquisitions, and other corporate transactions with securities implications.
• Drive business development initiatives and maintain strong client relationships.
• Mentor and supervise associates and contribute to the growth of the corporate and securities practice.

Salary: $250,000 - $350,000 per year

• Structure and lead public and private securities offerings, including equity and debt transactions
• Advise clients on SEC reporting and compliance, including Exchange Act filings and disclosure requirements
• Counsel clients on corporate governance, SEC regulations, and securities law compliance
• Represent issuers, investors, and financial institutions in capital markets transactions
• Provide strategic guidance on mergers, acquisitions, and other corporate transactions with securities implications
• Drive business development initiatives and maintain strong client relationships
• Mentor and supervise associates and contribute to the growth of the corporate and securities practice

• J.D. from an accredited law school and active Florida Bar admission (or ability to waive in)
• Extensive experience (typically 8+ years) in securities and capital markets law
• Portable book of business strongly preferred
• Deep knowledge of federal securities laws and SEC regulations
• Proven ability to manage complex transactions and client relationships
• Strong drafting, negotiation, and analytical skills
