Job description

Location: New York City (hybrid) or Washington, D.C. (remote)

Employment Type: Full-time

Compensation: $180,000 to $240,000 base + meaningful equity + benefits

Build the legal infrastructure for the next generation of capital markets.

We are working with an innovative financial technology company building the legal and technology infrastructure for onchain equity and modern capital markets.

The company combines traditional securities law, regulated financial infrastructure, and blockchain technology to enable real corporate equity to become programmable, transferable, and capable of moving through modern financial markets.

We are looking for a Head of Legal Strategy to help shape this next generation of financial infrastructure.

This is not a traditional legal role. You will work directly with the founders, product and engineering teams to design compliant financial products and infrastructure from the ground up.

The ideal candidate sits comfortably at the intersection of U.S. securities law, financial markets, blockchain technology, product development, regulatory strategy, and policy.

What You'll Do

Legal & Product Strategy

  • Design the legal architecture supporting innovative financial products and regulated infrastructure.
  • Lead securities law strategy across transfer agency, broker dealer, capital markets, and related activities.
  • Advise on novel questions involving onchain securities, equity ownership, capital formation, tokenization, and financial market infrastructure.
  • Partner directly with product and engineering teams to translate legal and regulatory requirements into practical product and technical decisions.
  • Help determine what can be built, how it can be built compliantly, and how legal frameworks can evolve alongside technology.
  • Develop practical legal frameworks that allow the company to move quickly while maintaining regulatory integrity.
Regulatory Strategy & Advocacy
  • Develop and execute regulatory strategy with the SEC, FINRA, and other relevant regulators and policymakers.
  • Monitor and analyze proposed rules, regulatory developments, and emerging frameworks affecting tokenized securities and digital capital markets.
  • Draft and contribute to regulatory comment letters, policy submissions, and industry responses.
  • Represent the company's perspective in regulatory and policy discussions.
  • Build relationships across the regulatory, securities, financial market, and blockchain ecosystems.
Policy & Industry Leadership
  • Help develop policy initiatives focused on the future of securities, equity markets, and financial infrastructure.
  • Participate in industry associations, working groups, conferences, panels, and private industry discussions.
  • Help shape emerging standards and policy frameworks for programmable equity and tokenized securities.
  • Serve as an external voice on the intersection of securities law, technology, and capital markets.
Cross Functional Leadership
  • Work closely with the CEO, founders, CTO, product, engineering, and business teams.
  • Explain complex legal and regulatory concepts in a way that technical and business teams can immediately act on.
  • Help establish legal and regulatory frameworks that support product development and commercial growth.
  • Manage outside counsel strategically when specialized expertise is required.
What We're Looking For

-We are looking for someone who has already operated at the intersection of traditional financial markets and blockchain technology.

You may be a lawyer who became deeply technical and product oriented. You may have worked in financial market infrastructure and moved into blockchain. You may have experience in regulatory innovation, securities tokenization, digital assets, or technology driven financial products.

What matters most is that you understand both the legal framework and how the underlying technology and financial products actually work.

You should have:

  • Significant experience with U.S. securities laws and regulations.
  • Deep familiarity with equity securities, capital formation, broker dealers, transfer agents, or related financial market infrastructure.
  • Experience advising on blockchain, tokenization, digital securities, or onchain financial infrastructure.
  • The ability to understand technical products and work directly with product and engineering teams.
  • Experience engaging with regulators, policymakers, industry associations, or regulatory bodies.
  • Excellent written and verbal communication skills.
  • The ability to represent an organization externally on complex legal, regulatory, and policy issues.
  • A practical, entrepreneurial approach to solving novel legal problems.
  • Comfort operating in ambiguous environments where there is no established legal playbook.
Particularly Relevant Experience

Experience in one or more of the following environments may be especially relevant:

  • SEC or FINRA
  • Broker dealers or transfer agents
  • Securities tokenization
  • Onchain securities
  • Digital asset financial infrastructure
  • Equity capital markets
  • Financial market infrastructure
  • Regulatory innovation
  • Blockchain based financial products
  • Law firms advising innovative securities, fintech, or tokenization products

We are particularly interested in candidates who understand both sides of the market, traditional securities and financial infrastructure as well as blockchain and digital assets.

This Is Not a Traditional Legal Role
You’ll thrive in this position if you:
  • Believe regulation can enable innovation.
  • Want to build products rather than simply review them after the fact.
  • Enjoy working directly with engineers and technical teams.
  • Can move comfortably between a technical product discussion, a securities law analysis, and a regulatory conversation.
  • Enjoy writing, debating, and shaping policy.
  • Are comfortable representing an organization publicly and building relationships privately.
  • Have an entrepreneurial mindset and are willing to get into the details.
  • Want your work to influence how a new category of financial infrastructure is built and regulated.
  • $180,000 to $240,000 base salary
  • Meaningful startup equity
  • Flexible PTO
  • Compensation will be determined based on experience, skills, location, and other job-related factors.

If you're a securities law or financial markets professional who understands where blockchain technology is taking capital markets and you want to help build that future rather than simply advise from the sidelines, we'd like to hear from you.
