Job description

A highly regarded national law firm is seeking an experienced attorney to join its expanding Securities practice in Atlanta. The position offers the opportunity to work within a sophisticated, entrepreneurial practice in a collaborative and supportive environment.

Candidates should have at least five years of experience in the following areas:

• Public company disclosure requirements under the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Drafting SEC filings, including Forms 10-K, 10-Q, 8-K, 3, 4 and 5.
• Preparing proxy statements for annual and special shareholder meetings.
• Advising on short-swing profit rules and insider trading plans.
• Public company corporate governance, including board resolutions, policies and public disclosures.
• Public and private securities offerings.
• Experience with broker-dealers, FINRA, investment advisers or fund formation is advantageous.

Candidates should demonstrate strong academic credentials and excellent drafting, research, and communication skills.

The firm will consider senior associates, counsel, and junior partners. Admission to the relevant state bar is required.

Compensation will be competitive and commensurate with experience and qualifications; candidates with a considerable book are to disregard the advertised salary range.
