Job summary

Medline is seeking a Legal Counsel, Securities to support the complete spectrum of corporate and securities compliance matters, including preparation and filing of Forms 8-K, 10-Q, and 10-K, registration statements, proxy statements, and Section 16 filings; advising on governance and investor disclosures.

This attorney will collaborate with the Securities Legal team and cross‑functional partners across accounting, finance, IR and communications.

Qualifications

• Excellent business and legal judgment.
• Strong communication and presentation skills, both verbal and written.
• Ability to stay informed of emerging legal developments, market trends and practices.
• Strong interpersonal and organizational skills, attention to detail.

Responsibilities

• Prepare and file SEC filings in compliance with the ’33 and ’34 Acts, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
• Prepare and file Section 16 forms for Section 16 officers and directors.
• Advise on securities regulatory compliance matters and governance.
• Support the preparation and distribution of board materials and governance documents.
• Assist with capital markets transactions and related diligence.
