Job summary

CarMax Corporate Counsel is a key legal advisor focusing on securities and corporate governance matters. Based at the CarMax Home Office in Richmond, VA, you will support SEC/NYSE compliance, draft and review 8-Ks, 10-Qs, 10-Ks and proxy statements, and collaborate with business teams on governance matters.

The role requires a law degree, bar admission in a U.S. jurisdiction, and a minimum of three years’ experience advising public companies. On-site four days/week with competitive compensation.

Qualifications

• JD required with bar admission in a U.S. jurisdiction.
• Minimum 3 years of legal experience advising public companies in securities law, governance or capital markets.

Responsibilities

• Support SEC and NYSE compliance, including drafting/reviewing 8-K, 10-Q, 10-K and 14A filings.
• Prepare Section 16 filings for officers and directors.
• Assist with insider trading policy administration and Rule 10b5-1 disclosure obligations.
• Support governance activities, including board materials and shareholder communications.
