Qualifications

• Knowledge with registered securities offerings, PIPEs, SEC regulations, ’33 Act Registration Statements, and ’34 Act periodic filings.
• A minimum of 1 year of experience with regulatory requirements and compliance issues.
• Self-motivated and proactive approach to managing client relationships; committed to obtaining the best possible outcome for clients.
• Excellent interpersonal communication skills and exemplary attention to detail.
• 1+ years of substantive legal experience with high-growth, early-stage businesses and active investors in incorporations, equity financings, securities, M&A, and general corporate counseling.

Responsibilities

• Advise on regulatory requirements and compliance for securities offerings and corporate matters.
• Manage client relationships and expectations to obtain best possible outcomes.
• Draft and review registration statements, periodic filings, and other SEC-related documents.
• Support high-growth client engagements, including financings and corporate counseling.
• Collaborate with partners on mergers and acquisitions and general corporate work.
