BCG Attorney Search seeks an experienced attorney to join its expanding securities group in Washington, D.C. You will engage in a sophisticated and entrepreneurial practice within a collegial and supportive environment.

Candidates should possess at least five years of experience in corporate securities law and demonstrate strong research, writing, and communication skills. The role emphasizes governance, disclosures, and offerings in a collaborative team setting.

Qualifications

• Minimum of five years of corporate securities law experience.
• Strong academic background.
• Excellent research, writing, and communication skills.

Responsibilities

• Advise on public company disclosure rules and regulations (Securities Act of 1933; Exchange Act of 1934).
• Draft Forms 10-K, 10-Q, 8-K and proxy statements for shareholder meetings.
• Prepare Forms 3, 4 and 5 and advise on short-swing profit rules.
• Guide public company insiders on trading plans.
• Draft board resolutions and press releases as part of governance duties.
• Participate in public and private offerings of securities.
• Apply knowledge of national securities exchange listing rules.
• Experience with broker-dealer, FINRA, investment adviser, or fund formation is a plus.
