Job summary

CoreView, a global leader in Microsoft 365 governance, seeks a Commercial Counsel to own the full lifecycle of customer and vendor agreements, drafting, reviewing, and negotiating high‑volume SaaS contracts including MSAs, DPAs, NDAs, and partner agreements across multiple time zones.

You will partner with Legal, Sales, Finance, and Operations to resolve issues, balance protection with deal velocity, advise on ARR terms and renewals, and ensure ASC 606 / IFRS 15 alignment.

Qualifications

• Active license to practice law in at least one US jurisdiction.
• 5–10 years of relevant commercial contracting experience; SaaS focus preferred.
• Strong drafting, reviewing, negotiating, and redlining of commercial agreements.
• Ability to balance risk with business objectives and deal speed.

Responsibilities

• Draft, review, and negotiate a high volume of SaaS contracts including MSAs, DPAs, NDAs, and partner agreements.
• Manage the full contract lifecycle from redlining through execution with urgency and ownership.
• Collaborate with Legal, Sales, Finance, and Operations to resolve issues and align risk with business goals.
• Advise on ARR terms, multi-year commitments, auto-renewals, and uplift provisions.
• Ensure alignment with ASC 606 / IFRS 15 and cross-border data privacy obligations.
