This attorney will work alongside experienced attorneys to advise clean energy companies, project developers, investors, private equity funds, and other clients on a broad range of sophisticated corporate and transactional matters.

This is an opportunity to join a collaborative, mission-driven law firm and work directly with sophisticated clients on transactions that support the continued growth of the clean energy economy.

This position is fully remote – as a distributed law firm, we offer the opportunity to work remotely from wherever you are licensed to practice law.

EXPERIENCE AND QUALIFICATIONS
  • Approximately 3 years of corporate or transactional experience at a law firm, preferably with a strong corporate, M&A, private equity, or finance practice.

  • Experience drafting and reviewing transaction documents, conducting due diligence, preparing closing deliverables, and supporting transaction execution.
  • Strong foundational knowledge of corporate law, corporate governance, entity formation, and transactional structures.
  • Ability to independently manage assigned transaction workstreams, identify potential legal and business issues, and elevate complex matters appropriately.
  • Strong drafting, analytical, research, negotiation, and problem-solving skills, with excellent attention to detail.
  • Excellent written and verbal communication skills, organizational abilities, and the capacity to manage multiple assignments and competing deadlines.
  • A collaborative, team-focused approach and a willingness to learn from and work closely with senior attorneys.
  • Ability to work independently and collaborate effectively in a fully remote work environment.
  • Admission to and in good standing with the Bar of the applicant’s state of residence.
  • Dedication to the Firm’s mission and an interest in developing expertise in renewable energy and sustainable infrastructure transactions.
DUTIES AND RESPONSIBILITIES

  • Draft, review, and revise transaction documents related to equity financings, private equity investments, and other capital-raising transactions.
  • Assist with the structuring, documentation, and execution of joint ventures, strategic partnerships, and other commercial arrangements.
  • Support corporate governance matters, entity formations, capitalization structures, shareholder and partnership arrangements, and related corporate issues.
  • Conduct and coordinate legal due diligence, including reviewing organizational documents, material contracts, and other transaction-related materials.
  • Prepare and maintain transaction checklists, closing documents, ancillary agreements, and other materials necessary to facilitate successful transaction execution.
  • Coordinate with clients, opposing counsel, and other transaction participants on assigned matters, under the guidance of senior attorneys.
  • Identify legal and business risks, conduct research, and assist in developing practical solutions that advance clients’ objectives.
  • Manage assigned responsibilities and transaction workstreams efficiently while maintaining accuracy and meeting deadlines.
  • Collaborate with attorneys across the Firm’s practice groups on multidisciplinary transactions.
  • Stay current on legal, regulatory, and market developments affecting corporate transactions and the clean energy industry.
  • Adhere to Firm policies, practices, and priorities.
  • Perform other duties as requested by Firm management.
