Jobgether SRL is seeking a VP - Managing General Counsel, Corporate, Debt and Equity based in the United States. This senior in-house role involves leading corporate, transactional, debt, equity, and governance matters within a rapidly growing healthcare organization.

You will shape legal strategy, oversee teams, and partner with executives, compliance, and external counsel. The position offers remote work up to 25% travel with Nashville, TN preferred, and a competitive compensation package

Qualifications

• J.D. degree from an ABA-accredited law school.
• Active license to practice law and bar membership in good standing.
• 8+ years of corporate and transactional legal experience with exposure to large-scale M&A and IPOs.

Responsibilities

• Serve as lead corporate counsel and strategic business partner on corporate structure, governance, M&A, debt and equity matters.
• Oversee corporate attorneys and paralegals; collaborate with compliance and business stakeholders.
• Advise senior leadership on federal/state corporate laws, securities regs, governance, and obligations.
• Draft, review, and negotiate corporate agreements and transactional documents.
• Lead support for major corporate transactions with risk and governance focus.
• Oversee equity grants and related tax considerations.
• Coordinate with external counsel and manage outside resources.
